California Cooperative Corporation

InertSpace Cooperative Inc

Member-owned. Democratically governed. Transparent.

Formally incorporated on July 2, 2026 as a California Cooperative Corporation.

Three Member Classes

Every class gets one vote. Every class shares in patronage. Contribution is measured differently, but voice is equal.

Worker-Member

People who do the work

Individuals who perform work for the Cooperative or hold governance responsibilities. Includes developers, designers, digital artists, and service providers who build and run InertSpace.

Patronage measured by: Hours of work performed in the fiscal year.

Vendor-Member

People who sell through us

Individuals or entities who sell goods or services through InertSpace Cooperative platforms (like AnalogCirc.us) and have been admitted as members. Real storefronts, real hours, real curation.

Patronage measured by: Gross sales volume through Cooperative platforms.

Supporter-Member

People who show up

Members and subscribers on our platforms, plus small sellers who move a few things without carrying a full vendor's inventory. The Charter Magus tier of the VHS Rotary Club is the clearest route in. Dues make you eligible, not elected. Who holds a seat for this class is settled by vote and by need.

Patronage measured by: Dues paid and platform activity in the fiscal year.

The Ten Principles

Every member agrees to uphold these when they join. They can be amended by member vote, but the core values (participation, sustainability, mutual aid) stay put.

01

Worker sustainability comes first

We are organized to sustain the people who make this work, not to maximize extraction for its own sake. Livable wages, fair vendor economics, meaningful ownership for supporters. Surplus is distributed fairly or reinvested in the community, never hoarded.

02

Active community engagement

Membership is active, not passive. We believe in genuine participation over "set it and forget it." The co-op is built on people who care, not algorithms that optimize. Going dark without communication violates this principle.

03

Transparency and accountability

We operate openly. No hidden fees, no secret algorithms, no opaque decision-making. Financial information is shared with members. Problems are addressed directly. If something breaks, we talk about it and fix it together.

04

Democratic participation

Members have real decision-making power. One member, one vote, regardless of capital or contribution level. Major decisions are made by member vote or with member input. Members can remove leadership if it doesn't align with co-op values.

05

Mutual aid, not competition

The co-op thrives when members help each other. Success is not zero-sum. Rising tide lifts all boats. Members share knowledge, tools, and resources. Experienced members mentor newer ones. We are building something together, not competing for scraps.

06

Long-term sustainability over quick growth

"Move fast and break things" is not how we operate. Sustainable profit beats VC-fueled hockey-stick growth. We say no to opportunities that do not align with co-op values. Member wellbeing and community health matter more than revenue metrics.

07

Reciprocal responsibility

Members have both rights and responsibilities. You have the right to fair treatment, transparency, and meaningful participation. You have the responsibility to engage, contribute, and uphold these principles. Freeloading is not a membership option.

08

Member ownership and capital accounts

Members own real equity in the co-op through capital accounts. Not fake ownership, not tokens. Capital accounts grow through patronage allocation, are tracked transparently, and are yours. Upon dissolution, member capital accounts are distributed fairly.

09

Continuous learning and evolution

These principles can evolve as the co-op matures. They are not immutable dogma. Mistakes are opportunities to learn, not reasons to hide. We listen to feedback and adjust. The co-op gets better through collective wisdom, not individual authority.

10

Alignment with cooperative values

InertSpace Cooperative is built on the values of the cooperative movement: democracy, equity, solidarity, and sustainability. We prioritize community benefit over individual extraction. We think in decades and generations, not quarters and exits.

Analog values in digital spaces

Cooperative principles are not just documents. They are codified as platform features on every InertSpace Cooperative platform, including AnalogCirc.us:

Active participation Members show up and engage. Not passive extraction, not automated funnels replacing humans.
Floor inventory limits Only 20-50 items on active display. Curated, not indexed.
Closed-for-curation windows 1-2 days per week. Vendors step back to refresh, restock, plan.
Real-time human engagement Real humans during hours. No chatbots, no automated funnels.
Human discovery No algorithmic ranking. Vendors compete on curation, not gaming.
Intentional limitations Constraints are features. Infinite scale leads to commodification.
